L'autorizzazione dell'aiuto è tra l'altro subordinata al rispetto delle seguenti condizioni: -non sarà possibile apportare alcuna modifica al piano senza l'accordo preliminare della Commissione; -il Crédit Lyonnais non potrà riacquistare attività industriali e commerciali scorporate (caso Usinor-Sacilor), a meno che l'acquisto non avvenga al prezzo al quale l'attività è stata trasferita al Consortium de Réalisations (CDR - cfr. antefatto infra) o al prezzo di mercato se quest'ultimo è superiore al prezzo di trasferimento dell'attività al CDR, e in ogni caso nei limiti di un valore globale di 5 Mrd di FF; -operare una netta separazione tra il CDR e il Crédit Lyonnais, per quanto concerne i dirigenti, l'amministrazione, nonché il sistema di
...[+++] controllo e di vigilanza sulla gestione delle attività scorporate; assicurare inoltre l'indipendenza nei confronti del Crédit Lyonnais degli organi di direzione delle attività scorporate ed escludere qualsiasi interessenza del Crédit Lyonnais ai proventi dei realizzi del CDR; -il Crédit Lyonnais dovrà destinare i proventi delle cessioni alla ristrutturazione degli elementi dell'attivo e delle attività non redditizie; in tal modo non potrà reinvestire tali fondi nel riacquisto delle partecipazioni industriali o finanziarie; - la Société de Participation Banque/Industries (SPBI - cfr. antefatto) percepirà non soltanto i proventi della privatizzazione del Crédit Lyonnais, ma anche una parte considerevole degli utili conseguiti dalla banca (in virtù della clausola del "ritorno a giorni migliori").The other conditions imposed by the Commission are as follows: - no amendment may be made to the plan without the Commission's prior agreement; - Crédit Lyonnais will be permitted to repurchase hived-off industrial and commercial assets (compare the Usinor-Sacilor case) only at the price at which the assets were transferred to Consortium de Réalisations (CDR - see background below) or at the market price if that is higher than the price at which the assets were transferred to CDR; an ov

...[+++]eir managers, their administration and the system of controlling and supervising the management of the hiving-off mechanism; steps must also be taken to ensure that the committees responsible for managing the hived-off companies remain independent of Crédit Lyonnais and that the bank has no share in the proceeds of CDR's sales; - Crédit Lyonnais will have to use the proceeds of sales to restructure non-performing assets and activities, thereby preventing it from reinvesting those proceeds in the repurchase of industrial or financial holdings; - Société de Participation Banque/Industries (SPBI - see background below) will receive not only the proceeds of the privatization of Crédit Lyonnais but also a substantial share of the bank's profits (in accordance with the "better fortunes" clause).
